Acceptance of Legal Terms

These Terms and Conditions ("Terms") form a legally binding agreement between you ("you" or "your") and Genki Pharma , a company incorporated in Japan. These Terms govern your access to and use of the services, products, and any related offerings that refer to or link to these legal terms.

Supplemental Terms and Conditions

Any additional terms or documents that may be posted on the Services from time to time are considered an integral part of these Terms, incorporated by reference. We reserve the right to update or modify these Terms at our discretion, for any reason, and at any time. Changes will be communicated by updating the "Last Updated" date at the top of these Terms. You waive the right to receive individual notifications regarding these changes. It is your responsibility to periodically check these Terms to stay informed of any updates. By continuing to use the Services after any changes are posted, you agree to the revised Terms and accept them as binding.

Age Restriction

The Services are intended solely for individuals who are at least 18 years old. Users under the age of 18 are prohibited from using or registering for the Services.

OUR SERVICES

The information provided through the Services is not intended for distribution or use by any individual or organization in any jurisdiction or country where such distribution or use would violate any laws or regulations, or where we would be subject to registration requirements in such jurisdiction or country. Our Intellectual Property

Subject to your compliance with these Legal Terms, including the "PROHIBITED ACTIVITIES" section below, we grant you a non-exclusive, non-transferable, revocable license to:

Any violation of these Intellectual Property Rights will be considered a material breach of these Legal Terms, resulting in the immediate termination of your access to the Services.

Your Submissions and Contributions

Please review this section and the "PROHIBITED ACTIVITIES" section carefully before using our Services to understand the rights you grant us and the obligations you have when posting or uploading content through the Services.

Submissions: By directly sending us any questions, comments, suggestions, ideas, feedback, or other information about the Services ("Submissions"), you agree to transfer to us all intellectual property rights associated with that Submission. You understand that Contributions may be accessible by other users of the Services.

When you post Contributions, you grant us a license to use your Contributions (including your name, trademarks, and logos) with the following rights: an unrestricted, irrevocable, worldwide, perpetual, non-exclusive, transferable, royalty-free, fully-paid license to use, copy, reproduce, distribute, sell, resell, publish, broadcast, modify, translate, and exploit your Contributions for any purpose, including advertising, marketing, and creating derivative works. This includes our right to use your name, company name, or franchise name, along with any trademarks, logos, or images you provide.

Responsibility for Your Posts

By sending Submissions and/or posting Contributions through the Services, or linking your social media accounts to the Services, you:

  • Confirm that you have read and agree with our "PROHIBITED ACTIVITIES" and will not post or submit any content that is illegal, harmful, defamatory, obscene, discriminatory, or otherwise inappropriate;
  • Waive any moral rights to your Submissions and/or Contributions, to the extent allowed by law;
  • Warrant that your Submissions and/or Contributions are original to you or that you possess the necessary rights to submit them and grant us the rights outlined in these Terms; and
  • Warrant that your Submissions and/or Contributions do not contain confidential information.

You are solely responsible for your Submissions and/or Contributions, and you agree to reimburse us for any damages or losses incurred due to your breach of these Terms or third-party rights.

Removal of Content

While we are not obligated to monitor Contributions, we reserve the right to remove or edit any Contributions at any time without notice if we believe, in our sole discretion, that they are harmful or violate these Legal Terms. If we remove or edit any Contributions, we may suspend or disable your account and report your activities to the authorities.

Copyright Infringement

We respect the intellectual property rights of others. If you believe that any content available on or through the Services infringes upon any copyright you own or control, please refer to the "COPYRIGHT INFRINGEMENTS" section below immediately.

USER REPRESENTATIONS

By using the Services, you represent and warrant that:

  1. All registration information you provide will be truthful, accurate, current, and complete;
  2. You will maintain the accuracy of such information and promptly update it as necessary;
  3. You have the legal capacity to agree to these Legal Terms and comply with them;
  4. You are not a minor in the jurisdiction where you reside;

  6. You will not use the Services for any illegal or unauthorized purpose; and
  7. Your use of the Services will comply with all applicable laws and regulations.

USER REGISTRATION

You may need to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change any username you select if we determine, at our sole discretion, that the username is inappropriate, offensive, or otherwise objectionable.

PRODUCTS

We make every effort to display the colors, features, specifications, and details of the products available on the Services as accurately as possible. However, we cannot guarantee that the colors, features, specifications, and details of the products will be accurate, complete, reliable, up-to-date, or free of errors. Your electronic display may not reflect the actual colors or details of the products. All products are subject to availability, and we cannot guarantee that items will be in stock. We reserve the right to discontinue any product at any time for any reason. Prices for all products are subject to change.

PURCHASES AND PAYMENT

You agree to provide current, complete, and accurate purchase and account information for all purchases made through the Services. You also agree to update account and payment information, including email address, payment method, and card expiration date, as necessary to complete your transactions and contact you. Sales tax will be added to the purchase price where applicable. We may change prices at any time. All payments will be made in Yen.

You agree to pay all charges at the current prices for your purchases and any applicable shipping fees. You authorize us to charge your chosen payment provider for these amounts upon placing your order. We reserve the right to correct any pricing errors, even if we have already requested or received payment.

We reserve the right to refuse any order placed through the Services. We may, at our sole discretion, limit or cancel quantities purchased per person, household, or order. These restrictions may apply to orders placed by or under the same account, payment method, or billing/shipping address. We also reserve the right to limit or prohibit orders that we believe, at our sole discretion, are placed by dealers, resellers, or distributors.

RETURN POLICY

We are committed to ensuring the accuracy of your purchase. If you receive an incorrect item, we will resolve the issue promptly. However, we do not offer refunds for items that match the specifications of your original order.

Due to the sensitive nature of our products, we are unable to offer refunds for reasons other than receiving the wrong item. We appreciate your understanding on this matter.

PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than the purpose for which we make the Services available. The Services are not intended for commercial use unless explicitly approved or endorsed by us.

As a user of the Services, you agree not to:

  • Attempt to bypass any access restrictions or preventive measures on the Services.
  • Copy or adapt the software that comprises the Services, including code like Flash, JavaScript, or HTML.
  • Decompile, disassemble, or reverse engineer the software used in the Services.
  • Use any automated system or script, such as a spider or offline reader, that accesses the Services in an unauthorized manner.
  • Use a purchasing agent to make transactions on the Services.
  • Collect user data for unsolicited email campaigns or create user accounts by automated means or under false pretenses.
  • Use the Services to compete with us or use the Services and Content for any commercial purpose without our authorization.
  • Advertise or offer goods and services for sale through the Services.
  • Sell or transfer your profile to another individual.

 

User Contributions

The Services may invite you to participate in blogs, forums, or other features, and allow you to create, submit, post, or share content such as text, videos, photos, and other materials (referred to as "Contributions"). These Contributions may be visible to other users and on third-party websites. Therefore, anything you submit may be treated as public. By submitting your Contributions, you guarantee that:

  • Your Contributions do not infringe on any third-party rights, like copyrights or trademarks.
  • You have the necessary permissions to use and authorize the Services to use your Contributions.
  • You have permission from any individuals who are identifiable in your Contributions to use their name or image.
  • Your Contributions are truthful and not misleading.
  • Your Contributions are not unsolicited ads, spam, or promotional content.
  • Your Contributions are not obscene, offensive, violent, or otherwise inappropriate.
  • Your Contributions do not violate any laws or the rights of others, including privacy rights.
  • Your Contributions do not contain any offensive comments about race, gender, sexuality, etc.
  • Your Contributions do not violate any laws or terms.

If you violate any of the above, it may result in suspension or termination of your access to the Services.

Contribution License

By posting your Contributions on the Services, you grant us an unrestricted, worldwide, royalty-free license to use, distribute, display, modify, and create derivative works from your Contributions, including your image or voice, in any form of media. This license applies to any new media or technology and includes our right to use your name, company name, or logo.

You retain ownership of your Contributions and any intellectual property rights, but we are not liable for the content you post. You are solely responsible for your Contributions and agree to hold us harmless for any legal issues related to them.

We have the right to edit or remove Contributions, and we are not obligated to monitor them.

Review Guidelines

If you post a review, you must:

  • Have firsthand experience with the reviewed person or entity.
  • Avoid offensive or hateful language.
  • Not make discriminatory remarks based on religion, race, gender, etc.
  • Not make false statements or illegal claims.
  • Not be affiliated with competitors when posting negative reviews.

We may accept, reject, or remove reviews at our discretion, and we are not responsible for them.

Social Media

You may link your account with third-party services (e.g., social media) and allow us access to certain information. You confirm that you have the right to do so. By linking your account, you grant us permission to use your social media content as part of the Services.

Services Management

We reserve the right to monitor the Services and take action if there are violations of these terms, including blocking access or removing content.
